LEEVE 2.0 Marketplace

§ 1 Scope

The following general terms and conditions apply to all contracts between LEEVE GmbH, Georgstraße 38, 30159 Hannover – hereinafter referred to as "Provider" – and its business customers – hereinafter referred to as "Customers".

Any conflicting or deviating terms and conditions will not be recognized unless their validity is expressly agreed to in writing. This also applies if the provider does not explicitly object to them.

The provider's offers are exclusively aimed at businesses. A business (§ 14 BGB) is any natural or legal person or a legally capable partnership that, when concluding a legal transaction, acts in the exercise of its independent professional or commercial activity.

The general terms and conditions in effect at the time of the respective order apply.

§ 2 Subject matter of the contract, scope of services

LEEVE operates a digital platform for brokering video productions. Business customers can book standardized video services through the integrated marketplace, which are provided by freelance creators, external production companies, or their own part-time employees. The platform handles booking, payment, scheduling, file exchange, and communication.

The provider offers services, particularly in the areas of video and photography. They primarily offer the production of short videos and photos via online booking and ordering. Services are booked and paid for through an online portal or a smartphone application.

§ 3 Conclusion of Contract

The order is placed via the online booking portal or the application. The contract becomes legally binding upon clicking the "Order Now" button.

The free offer visible at the URL "leeve.io" is exclusively available to new customers. This offer is activated by clicking the "Start for Free Now" button. This applies to companies that have never previously ordered a video from the provider. If an existing customer attempts to book using the free offer, it will be billed at the standard price (€99 net).

§ 4 Remuneration

The amount of compensation owed by the customer is specified in the respective offer from the provider and is binding.

The fees quoted are gross prices.

Several customers of the same order are jointly and severally liable for payment.

If the provider is unable to fulfill its contractual obligations for reasons attributable to the customer, the provider's right to remuneration remains unaffected.

§ 5 Payment, Invoice

Invoices are sent via email. The full amount is due immediately upon placement of the order. Payment is made using the payment method chosen by the customer.

The available payment methods are displayed to the customer before the contract is concluded. Payment can be processed via external payment service providers. If SEPA direct debit is agreed upon, the customer must issue a written SEPA direct debit mandate.

§ 6 Acceptance

The videos can be viewed for review on the LEEVE app. If no defects are reported within two business days, the video will be considered accepted.

§ 7 Notice of Defects/Revision

The price includes one revision. Each additional revision will be billed as a new order and does not include any new filming.

§ 8 Customer's duty to cooperate

The client agrees to provide all necessary resources (e.g., filming locations, personnel, materials) and to actively participate in the planned production. The content must be feasible within the agreed timeframe.

§ 9 Right of Retention

Until full payment is received, the provider reserves the right not to deliver media.

§ 10 Liability

The provider is only liable for damages resulting from intentional or grossly negligent breach of duty. Any further liability is excluded.

§ 11 Termination of the contractual relationship

Early termination is not permitted. Statutory special termination rights remain unaffected.

§ 12 Copyright

The created media remain the intellectual property of the provider. Usage rights are only granted after full payment.

§ 13 Confidentiality and Secrecy

Both parties agree to maintain confidentiality regarding all information that becomes known to them in the course of this contract.

§ 14 Electronic Communication

Communication and invoicing are carried out electronically unless otherwise agreed.

§ 15 Final Provisions

The contract language is German.

Should individual provisions of these General Terms and Conditions be or become wholly or partially invalid, the validity of the remaining provisions shall not be affected.

The contractual agreements between the provider and the customer are governed by the laws of the Federal Republic of Germany. If the customer's habitual residence is in an EU country, mandatory consumer protection regulations of that country remain unaffected and apply in favor of the customer.
